ACT Nexus is a Pan-African cross-border technology ecosystem bringing together founders, operators, investors, service providers, and ecosystem stakeholders building, operating, investing in, and supporting technology businesses across African markets.

These Terms apply to all visitors, users, applicants, members, partners, event participants, contributors, and other persons accessing or using the ACT Nexus Website or Services (“User”, “you”, or “your”).

By accessing or using the ACT Nexus Website or any ACT Nexus Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you do not agree to these Terms, you must not access or use the Website or the relevant ACT Nexus Services.

1.6

Where you use a particular ACT Nexus Service that is subject to additional terms, those additional terms will apply to that Service in addition to these Terms.

“ACT Nexus” means ACT Nexus Limited and the ACT Nexus platform, community, ecosystem, services, initiatives, events, content, and other activities operated or made available by ACT Nexus Limited.

“Services” means the Website and any products, features, resources, membership services, events, convenings, insights, introductions, opportunities, or other services made available by ACT Nexus.

“User Content” means any content, information, material, profile, submission, comment, photograph, document, or other material submitted, uploaded, published, or otherwise provided by a User.

2.1.5

“Website” means the ACT Nexus website accessible at www.actnexus.africa, together with any successor website or associated digital platform operated by ACT Nexus.

2.2

References to the singular include the plural and vice versa.

2.3

References to a person include an individual, company, corporation, partnership, organisation, association, institution, government entity, or other legal or commercial entity.

2.4

Headings are included for convenience only and do not affect the interpretation of these Terms.

2.5

References to “including” or “includes” shall be construed without limitation.

3.About ACT Nexus

3.1

ACT Nexus provides a curated ecosystem through which individuals and organisations may connect, exchange knowledge and intelligence, participate in convenings and experiences, discover opportunities, develop relationships, explore collaborations and strategic partnerships, and participate in Africa’s cross-border technology ecosystem.

3.2

ACT Nexus may provide or facilitate:

Membership.

3.2.2

Private member directories.

3.2.3

Events and convenings.

3.2.4

Insights, research, reports, and other knowledge resources.

3.2.5

Strategic introductions.

3.2.6

Ecosystem connections.

3.2.7

Business and growth opportunities.

3.2.8

Collaboration opportunities.

3.2.9

Investment-related connections.

3.2.10

Speaking and visibility opportunities.

3.2.11

Partnerships and ecosystem initiatives.

3.2.12

Such other services, resources, or experiences as ACT Nexus may introduce from time to time.

3.3

The availability of any particular Service, feature, opportunity, or experience may vary and may be subject to additional eligibility requirements, fees, application processes, availability, or separate terms.

4.Acceptance of These Terms

4.1

By accessing or using the Website or any ACT Nexus Service, you confirm that:

You have the legal capacity to enter into a binding agreement under the laws that govern your capacity to do so.

4.1.2

The information you provide to ACT Nexus is accurate, complete, and not misleading.

4.1.3

You will comply with these Terms and the laws that apply to your use of the Website and ACT Nexus Services.

Certain ACT Nexus Services may have additional eligibility criteria.

7.3

ACT Nexus Membership is curated and is not automatically granted to every Applicant.

7.4

Submission of a Membership application does not create a right to Membership or guarantee acceptance.

7.5

ACT Nexus may review information provided by an Applicant and conduct reasonable verification or due diligence before determining whether to accept an application.

7.6

Membership is governed by the ACT Nexus Membership Terms & Conditions, which apply in addition to these Terms.

8.Membership

8.1

ACT Nexus Membership is separate from general access to the Website.

8.2

A person may browse publicly available Website Content without becoming an ACT Nexus Member.

8.3

Membership may provide access to certain features, resources, experiences, events, opportunities, introductions, directories, or other benefits that are not available to non-members.

8.4

Membership:

8.4.1

Is subject to application and review.

8.4.2

May require verification or due diligence.

8.4.3

May be subject to Membership Fees.

8.4.4

May be subject to eligibility requirements.

8.4.5

May be subject to renewal.

8.4.6

May be suspended or terminated in accordance with the Membership Terms & Conditions.

8.4.7

Does not guarantee any particular introduction, partnership, investment, commercial opportunity, business result, or other outcome.

8.5

The detailed rights and obligations of Members are governed by the ACT Nexus Membership Terms & Conditions.

9.Membership Applications

9.1

Where ACT Nexus accepts applications through the Website, Applicants must provide accurate and complete information.

9.2

You must not:

Provide false information.

9.2.2

Impersonate another person.

9.2.3

Misrepresent your organisation or position.

9.2.4

Provide misleading information regarding your activities, interests, experience, or affiliations.

9.2.5

Submit an application on behalf of another person without appropriate authority.

9.3

ACT Nexus may request additional information where reasonably necessary to assess an application.

9.4

ACT Nexus reserves the right to:

Accept or reject an application.

Request additional information.

9.4.3

Conduct verification or due diligence.

9.4.4

Defer a decision.

9.4.5

Impose reasonable Membership conditions.

9.4.6

Withdraw or reconsider acceptance where information is subsequently found to be inaccurate or misleading.

Unless expressly stated otherwise, payment of a Membership Fee does not by itself guarantee acceptance into ACT Nexus.

10.User Accounts and Credentials

10.1

Where ACT Nexus provides account-based Services, you may be required to create or maintain an account.

10.2

You are responsible for:

Keeping your login credentials confidential.

Maintaining the security of your account.

10.2.3

Ensuring that information associated with your account remains accurate.

Notifying ACT Nexus promptly of unauthorised access.

10.2.5

All activity undertaken through your account, except to the extent that such responsibility cannot legally be imposed on you.

You must not share your account credentials with another person where account sharing is prohibited.

10.4

You must not attempt to access another User’s account without authorisation.

ACT Nexus may suspend or restrict an account where we reasonably believe that the account has been compromised, misused, or used in breach of these Terms.

You represent and warrant that:

You have obtained any necessary permissions from persons appearing in the Content.

Providing the User Content does not breach any confidentiality obligation.

19.Licence to User Content

19.1

By submitting User Content to ACT Nexus for publication or use through an ACT Nexus Service, you grant ACT Nexus a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display, distribute, communicate, format, adapt, and otherwise use that Content for the purposes of operating, promoting, and providing the relevant ACT Nexus Service.

19.2

The licence under Clause 19.1 shall continue for as long as reasonably necessary for those purposes and subject to the ACT Nexus Privacy Policy and any legal requirements governing the relevant Content.

19.3

You retain ownership of your User Content unless otherwise agreed in writing.

19.4

ACT Nexus does not acquire ownership of your intellectual property merely because you submit it.

20.Removal of User Content

ACT Nexus may remove, restrict, edit, or decline to publish User Content where ACT Nexus reasonably believes that the Content:

Event participation may be subject to separate registration requirements, fees, eligibility criteria, cancellation terms, venue requirements, or event-specific terms.

Where required, ACT Nexus will provide appropriate notice or obtain the necessary consent.

If you do not wish to appear in certain promotional materials, you should contact ACT Nexus through the designated contact details.

26.Strategic Introductions

ACT Nexus may facilitate introductions between Members and other individuals or organisations.

26.2

An introduction does not constitute:

An endorsement.

26.2.2

A guarantee.

26.2.3

A recommendation.

26.2.4

A representation of suitability.

26.2.5

A representation of creditworthiness.

26.2.6

A representation of professional competence.

26.2.7

A guarantee of any commercial outcome.

26.3

You are responsible for conducting your own due diligence before entering into any relationship, transaction, partnership, investment, engagement, or other arrangement arising from an introduction.

26.4

ACT Nexus is not a party to agreements entered into between introduced parties unless expressly stated otherwise.

Where ACT Nexus provides a private Member Directory, access is subject to the applicable Membership Terms & Conditions.

Directory information is provided for legitimate ecosystem and professional connection purposes.

Scrape the Directory.

Create a separate database from Directory information.

28.3.3

Sell Directory information.

28.3.4

Distribute Directory information outside the permitted purpose.

Use Directory information for unsolicited mass marketing.

Impersonate Members.

28.3.8

Use Member information for fraudulent purposes.

Otherwise misuse Member information.

29.Member-To-Member Relationships

ACT Nexus does not control relationships between Members.

29.2

Members are independently responsible for their dealings with one another.

29.3

ACT Nexus does not guarantee:

The identity of every Member.

29.3.2

The accuracy of every Member profile.

29.3.3

The legitimacy of every Member’s business.

29.3.4

The financial capacity of a Member.

29.3.5

The quality of a Member’s services.

29.3.6

The suitability of a Member as a partner.

29.3.7

The success of a collaboration.

29.3.8

The outcome of any transaction.

29.4

Users should undertake appropriate due diligence before relying on information provided by another Member.

30.Third-Party Websites and Services

30.1

The Website may contain links to third-party websites, platforms, services, tools, social media accounts, payment providers, event platforms, or other external resources.

30.2

Third-party links are provided for convenience and ecosystem purposes.

ACT Nexus does not control third-party websites and is not responsible for:

By interacting with ACT Nexus electronically, you consent to receiving communications electronically where legally permitted.

Membership communications.

32.2.3

Event information.

32.2.4

Service notices.

32.2.5

Administrative communications.

Marketing communications will be handled in accordance with the legal requirements governing such communications and the ACT Nexus Privacy Policy.

Nothing in this Clause shall prevent either party from seeking urgent or interim relief from a competent court or other competent authority where such relief is necessary.
